Petrosea acquires two port service firms to boost pit-to-port integration

Coal mining firm and contractor PT Petrosea Tbk (IDX: PTRO) announced on Wednesday that it has acquired majority shareholdings in two marine port service companies, PT Nusantara Arung Samudera (NAS) and PT Vista Maritim Asia (VMA), as part of efforts to strengthen its logistics integration and support business expansion.
The transactions were completed on Feb. 24, 2026 through Petrosea’s indirectly owned subsidiaries.
For NAS, Petrosea unit PT Petrosindo Sinergi Samudera (PSS) signed agreements to purchase a combined 55% stake comprising 45% from Karen Nathani and 10% from Maifian Juni Candra. The total purchase value was Rp550 million, equivalent to about US$32,544.

Following the deal, PSS holds 55% of NAS, while PT Adamas Indonesia Energi and PT Wisesa Maritim Nusantara own 31.5% and 13.5%, respectively. NAS operates in the maritime port services sector, supporting shipping and logistics activities such as cargo handling and marine operational services.
In a separate but parallel transaction, Petrosea acquired a 55% stake in VMA via another indirectly owned subsidiary, PT Petrosindo Sinergi Alur (PSA). The shares were purchased from Lius Kastomo (50%) and Jalu Yogo Santoso (5%) for Rp550 million, also equivalent to about US$32,544.
After the acquisition, PSA holds 55% of VMA, with PT Adamas Indonesia Energi and PT Wisesa Maritim Nusantara retaining 31.5% and 13.5% stakes. VMA is likewise engaged in marine port service operations.
Both acquisitions were formalized through share sale and purchase deeds executed before a Jakarta notary on the same date.
Petrosea said the twin transactions are intended to enhance operational synergies by integrating port and marine services into its pit-to-port value chain, enabling closer coordination across mining, logistics and shipping activities. The company expects the deals to support operational performance and form part of its broader growth strategy.
