Release: Adaro announces completion of consent solicitation related to its 8.5 percent guaranteed secured notes

(The Netherlands, November 21, 2006) - Adaro Finance B.V. (?Adaro Finance?), a wholly-owned subsidiary of PT Adaro Indonesia (?Adaro?), today announced that in connection with its previously announced consent solicitation relating to its 8.5% Guaranteed Secured Notes Due 2010 (the ?Notes?), the requisite consents have been received from holders of the Notes for the waiver of and amendments to certain provisions of the indenture dated December 8, 2005(the ?Indenture?) and other related documents (the ?Proposed Amendments and Waivers?).

The Proposed Amendments and Waivers were sought in order to permit a refinancing of the current mezzanine debt of the Adaro group, to permit Adaro to facilitate the repayment of certain intercompany loans in order to achieve structural and operating benefits and to modify certain provisions of other related documents to allow additional flexibility to the Adaro group in the event that they wish to undertake an initial public offering during the life of the Notes.

The detailed terms and conditions of the consent solicitation are contained in the Consent Solicitation Statement dated October 31, 2006. The requisite consents were received and accepted by Adaro Finance on November 20, 2006, at which time such consents became irrevocable. Payment of the consent fee of US$5.00 per US$1,000 principal amount of Notes to holders of Notes that validly delivered consents to the Proposed Amendments and Waivers is expected to be made on or about November 28, 2006.

Goldman Sachs (Singapore) Pte. was appointed to act as the sole solicitation agent for the consent solicitation. Lucid Issuer Services was appointed to act as the information agent for the consent solicitation.
