LEGAL OFFICER

LOCATION: OFFICE - JAKARTA SELATAN

To provide comprehensive legal support, advice, and governance oversight for the Company’s Non-Operated Assets, ensuring compliance with contractual, regulatory, and corporate governance requirements while minimizing legal risks and supporting effective business operations.

Key Responsibilities:

Governance & Contractual Oversight

1. Ensure compliance with the Joint Operating Agreement (JOA), Joint Operating Contract (JOC), and/or Production Sharing Contract (PSC).

2. Provide legal guidance to internal teams regarding the Company's rights and obligations in Operating Committee (OC) and Technical Committee (TC) forums.

3. Monitor adherence to regulations to ensure that all Company's activities comply with applicable laws and contractual provisions.

4. Liaise with SKK Migas and other regulatory bodies to support official communications requiring legal justification or contractual interpretation.

Commercial Document Review & Negotiation

1. Review, draft, and negotiate commercial agreements, including JOA/PSC amendments, Farm-in/Farm-out Agreements, Lifting Agreements, and Crude/Gas Sales Agreements.

2. Perform legal reviews and provide legal opinions on tender documents and other commercial transactions to support management decision-making and safeguard the Company's interests.

3. Assess and mitigate legal risks in commercial arrangements to minimize exposure and ensure optimal business outcomes.

LEGAL OFFICER

LOCATION: OFFICE - JAKARTA SELATAN

Key Responsibilities:

Legal Risk management & Advisory

• Conduct legal risk assessments and provide proactive advice to minimize potential disputes and protect the Company from future legal issues.

• Identify potential conflicts or breaches under the JOA (e.g., unilateral operator decisions, cost recovery, lifting rights) and develop appropriate mitigation strategies.

• Provide internal legal advisory to finance, tax, commercial, subsurface, and other teams regarding Participating Interest (PI) rights and related contractual provisions such as cost recovery, liability cap, Insurance, and Indemnity.

• Issue legal opinions for commercial evaluations, including Pi valuation, operator change, and Interest transfer.

Litigation, Compliance & Policy management

1. Provide legal counsel and manage both Litigation and non-litigation matters to protect the Company's assets and ensure smooth business operations.

2. Review and update policies, procedures, and regulatory documents to ensure continued compliance with applicable laws and internal governance standards.

3. Provide legal advisory and protection for the Board of Directors and management regarding Investor relations, capital market, and investment regulations, in alignment with Good Corporate Governance (GCG) principles.

Good Corporate Governance (GCG) & Ethics Compliance

1. Manage and monitor the implementation of GCG programs and activities.

2. Provide advice to management to promote continuous improvement of business ethics and ensure compliance with corporate governance and regulatory frameworks.

Job Requirement

1. Bachelor's degree In Law from a recognized university.

2. At least 5 to 8 years of experience in similar roles, preferably in energy sector (in house or private practice).

3. Experienced in writing, analyzing, and reviewing Legal documents.

4. Proficient in written and spoken English.

5. Excellent communication skills, strong team player, open and transparent communicator across diverse multidiscipline teams.
