An Indonesian mining company which operates the copper and gold mining and have a long-term expected mine life followed by processing stockpiles.

To support our expansion project, we are looking for highly motivated and experienced professional to fill the following position:

MANAGER/ ADVISOR – SITE LEGAL COUNSEL

(National – Site Based)

Some of your duties will include:

General Legal Counsel:

• To conducts, and supervises audits of various departments and entities to determine adherence to establish plans, policies, procedures, and good business practices with no limitation of scope;

• To provide an independent, objective assurance and consulting activity designed to add value and improve an organization’s operations regarding meeting the corporate objectives of the stakeholders of company group. 

• To review and evaluate internal control systems procedures to ensure that management policies are being complied with, the reliability of financial reporting, assets are safeguarded, deterring and investigating fraud, information is maintained securely and accurately, and legal requirements comply with the standards for Professional Practice of Internal Auditing, published by the Institute of Internal Auditors.

• To manage the Compliance and Investigation assessment, including Ethics Awareness and Company Ethics Line issue.

• To become a site representative of legal counsel, including representing company group for local litigation issues (i.e., ethics, social, land acquisition, landowner dispute, etc.), legal reviewer (i.e., work agreement, Company Rules, Policy), and providing legal advice to the Site Operations (Site Director).

Internal Audit:

• Direct and control all internal audit staff to ensure they are appropriately motivated and trained and carry out their responsibilities to the required standards.

• Develop and implement an annual audit plan to ensure the organization complies with good business practices and statutory regulations or standards.

• Monitor the conduct of internal audits to ensure that all relevant activities are subject to audit objectives

• Present audit reports to the Board and committees to identify areas requiring attention and ensure implementation of any actions agreed.

• Develop all necessary internal controls to ensure the organization’s operations operate effectively and identify potential risks.

• Maintain a working relationship with external parties related to audit works to ensure they have all the required information.

• Carry out ad hoc audit reviews to investigate any areas identified by management; Carry out or supervise audits and compliance testing to ensure that plans, policies, and procedures operate effectively with appropriate controls and recommend improvement where necessary.

• Establish a central interface during the audit for the clients.

• Treat all information received as confidential

• Participate in the ethics action team and performs ethics investigation assigned to Internal Audit.

Budget & Cost

• Manage department routine and projects annual business planning (budgeting) process (headcount, Opex, Capex, and closure cost), identify issues, and propose improvements.

• Ensure that programs are conducted within approved budgetary constraints.

• Be accountable for approval of purchases and expenditure within the delegated limits of authority.

• Review monthly cost and production against budget, and identify improvements.

• Reforecast budget if necessary

• The budgeting and costing process are assisted by relevant subordinates

• Undertake negotiation for budgets and financial plans with relevant groups and individuals in ways that build commitment to the plans.

What skills and experience do you need?

• Bachelor's degree from an accredited institution or an advanced degree in Business or a similar field; Bachelor’s or Master’s degree in Legal is preferable.

• At least 15 years’ experience in legal actions, including but not limited to litigation issues, Investigation, and Compliance. Preferable with a mining industry background.

• At least 7 years of experience supervising, leading, and managing professional-level staff

• Have General legal experience; Have experience in legal court actions; Have experience in corporate legal actions.

• Depth technical skills in internal control and auditing technique; Detailed knowledge of the legal standards, regulations, and requirements ; Good knowledge of Good Corporate Governance and Environment Social Governance (Preferable with knowledge of the Compliance, the Anti-Fraud Program, the fraud, and ethics investigation); Good knowledge of Company Regulations (Knowledge of Company Policy and Procedures) and Work Agreements.

• Have a middle-level operational inspector certificate (POM) or qualifications certificate recognized by KaIT (Chief Mines Inspector) in accordance with the level of position (Optional).

• Demonstrated effectiveness in resource planning, data analysis, and presentation; Excellent analytical and critical thinking, decision making and the support of institutional leadership; Possess excellent interpersonal and communication skills; Ability to establish and maintain positive working relationships with others within and outside the work group; Ability to work with a variety of internal and external constituencies;

• Excellent communication skills in English both verbal and written and computer literate.
