Eni in Indonesia currently holds participating interests in 12 (twelve) Production Sharing Contractors (PSCs), in 10 (ten) of which Eni serves as the operator in deep water areas with active exploration and development programs. We are looking for qualified personnel with high motivation, initiative, and integrity to fill in the following positions:
POSITION: SENIOR LEGAL COUNSEL
Purpose:
- Primarily draft, negotiate commercial agreements, identify and mitigate risks in commercial contracts
- Work primarily with the Commercial team and produce all types of contracts, documents, minutes, letters, legal opinion addressing a variety of commercial issues from marketing to LNG plant arrangements, insurance, shipping, crude oil offtake, PSC, and JOA related matters
- Draft, negotiate, and advise on the farm out and farm in and M&A transactions
General Accountabilities and Responsibilities:
- To be able to quickly establish an understanding of the legal structure and requirements for the LNG processing plant and relevant producers' arrangements
- To be able to quickly establish an understanding of joint sales structure for LNG and pipeline gas as well as gas supply agreement
- Prepare as required the necessary preliminary and final agreements to sell liquid and gas production into the Indonesian domestic market as well as export, for gas both through pipeline sales or LNG
- Structure, draft, review, and negotiate the marketing support agreements relevant to LNG, gas and liquid marketing to include Joint Marketing Agreement, Trustee Paying Agent Arrangement, LNG Development Agreement, Seller appointment agreement, Lifting and Offtake Agreement
- Protect company interests and ensure a fair system is implemented in the LNG plant systems for all gas suppliers
- Protect company interests in joint sales arrangement and gas supply to ensure the company’s right is protected
- Understand laws and regulations relevant to marketing activities as well as pipeline sales and LNG processing, monitor and advise the company on new development in laws and regulations that may impact the company’s marketing activities or future activities
- Travel internationally and participate actively in the negotiation meetings required to obtain agreements up to and including LNG sales agreements; Review PSC and JOA, understand the company’s right as well as the right of the Joint Venture’s party, proper identification of relevant approval process within the company or within PSC, as well as JOA and secure them for each transaction
- Structure, draft, review, negotiate farm out and farm in agreements, the inclusion of Indonesian participant, execution of back in right relevant to Indonesian PSC
- Support Mergers and Acquisition transactions and provide a legal opinion that supports the Mergers and Acquisition process as relevant to Indonesian assets
- To act for and to advise the management on a wide range of business legal matters, for various company’s projects
- Legal support to company PSCs in Indonesia
Qualifications & Experience:
- Education: Bachelor degree in law
- Professional Qualification:
• Minimum of 12 (twelve) years’ experience with extensive upstream knowledge. Upstream commercial knowledge is a plus.
- Training and Courses:
• Contract and legal drafting
• Court procedures (under domestic laws)
• PSC, JOA, and various contracts of goods and services
• Arbitration and alternative dispute resolution
• Petroleum law, company law, insurance, tax law, and international private law
• Oil and Gas Business Transactions
• Contract and Negotiation
• Employee Induction including HSE Awareness
- Language: Proficient in English both verbally and in written
Required Competencies:
Technical Competencies:
- High level of ability in a complex legal/ commercial environment and preferably, an existing background knowledge.
- A strong background in Indonesian legal and operating practice, particularly pertaining to PSC operations is necessary.
- Negotiate complex and demanding agreements in a timely manner with the company’s partners, the company’s peers within the East Kalimantan System, and the various agencies of the Government of Indonesia (GOI).
